1. Acceptance of Terms

2. Use of Services

You agree to use our Services only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Services. You agree not to:

• Post, transmit, or distribute any material that is unlawful, threatening, abusive, defamatory, or otherwise inappropriate.
• Use our Services, including website creation, for any commercial purpose without obtaining prior written consent from Lumicron Labs.
• Attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services, including websites hosted by us.

3. Website Ownership and Intellectual Property

Any website, design, or code developed by Lumicron Labs remains the intellectual property of Lumicron Labs until full payment is received. Upon full payment, the ownership of the website and related intellectual property will transfer to the client, with the following conditions:

• Licensed Material: Any third-party plugins, themes, or software integrated into the website are subject to the licensing terms of those products, and you may need to purchase additional licenses to maintain their use.
• Attribution: Lumicron Labs reserves the right to display our attribution (e.g., "Website by Lumicron Labs") in the website footer, unless otherwise agreed.

4. Website Content

You retain ownership of all content, including text, images, and videos, that you provide for your website. You represent and warrant that you have the necessary rights to use this content and that it does not infringe the rights of third parties.

By providing us with your content, you grant Lumicron Labs a non-exclusive, royalty-free license to use, reproduce, and display the content on your website during the design and development process.

5. Website Maintenance and Updates

Once your website is live, Lumicron Labs provides limited support as part of your package (as specified in your contract). Additional website maintenance, updates, or technical support services will be subject to additional fees, unless covered under an ongoing support agreement.

• Client Responsibilities: It is your responsibility to regularly update your website content and ensure it remains accurate. Any requests for updates or changes must be submitted to Lumicron Labs in writing.
• Third-Party Updates: Any updates to third-party software, plugins, or themes may require additional development or maintenance services, which are not included in your initial website package unless otherwise specified.

6. Website Hosting and Uptime

If hosting is included in your website package, Lumicron Labs will provide a hosting environment with an agreed-upon level of uptime and performance. However, we cannot guarantee that the website will be available 100% of the time. Scheduled maintenance, updates, or unforeseen issues (such as server failures) may result in temporary downtime.

• Hosting Limits: Website hosting is subject to the terms of your specific package, including bandwidth and storage limits. Exceeding these limits may result in additional fees.
• Backups: We perform regular backups of your website, but we strongly recommend that you maintain your own backups as well. Lumicron Labs is not liable for any data loss or website downtime caused by third-party hosting providers.

7. Payment and Billing

If you purchase any product or service from us, including website development or hosting, you agree to provide accurate and up-to-date payment information. You authorize Lumicron Labs to charge the designated payment method for the agreed-upon fees.

• Project Milestones: Payment for website projects may be split into milestones, with certain percentages due at the start, mid-point, and completion of the project. These milestones will be outlined in your contract.
• Late Payments: Failure to pay any outstanding amounts may result in suspension or termination of your website and hosting services until the balance is paid in full.

8. Termination

We reserve the right to suspend or terminate your access to the Services, including website hosting and maintenance, at our discretion, without notice, if you violate these Terms or engage in any activities that may harm the reputation, functionality, or security of our Services.

Upon termination, you will lose access to your website and its data. It is your responsibility to ensure that you have backups and any necessary materials before termination.

9. Limitation of Liability

To the fullest extent permitted by law, Lumicron Labs, its affiliates, directors, employees, or agents will not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to your use or inability to use the Services. This includes, but is not limited to, damages for loss of profits, data, goodwill, or other intangible losses.

• Website Functionality: We do not guarantee that your website will meet all user expectations, nor do we guarantee specific outcomes or results, such as traffic increases or conversions, unless otherwise explicitly stated in your contract.

10. Indemnification

You agree to indemnify and hold harmless Lumicron Labs and its affiliates, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. User-Generated Content

If your website allows users to post content (e.g., comments, reviews, user uploads), you are responsible for monitoring and moderating this content. Lumicron Labs is not liable for any user-generated content posted on your website. You must ensure that such content complies with applicable laws and does not infringe on third-party rights.

12. Changes to the Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to our website. We encourage you to review the Terms periodically. Continued use of our Services after any changes constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located within the United States of America for the resolution of any disputes arising out of or relating to these Terms or the use of our Services.
